Company is a private limited liability company established in the Kingdom of Saudi Arabia and
its head office is in the city of Riyadh, with commercial registry number: 1010681392. Please
read these terms carefully before obtaining or using the Services.
Your access to and use of the services constitutes your agreement to abide by these terms, which
creates
a
contractual relationship between you and GAZELLE Co. and if you do not agree to these terms, you
may
not
obtain or use the services. These conditions specifically replace any previous agreements or
arrangements
entered into with you, and GAZELLE may terminate these terms in general or any of the services
that
concern
you immediately, by stopping the offer of services or preventing access to them or any part of
them
at
any
time and for any reason whatsoever.
Some special conditions may apply to specific services, such as policies for a specific event,
activity,
or
promotional campaign, and these special conditions related to the services provided will be
disclosed to
you. Special conditions will be added to the conditions for the purposes of the services
provided
and
are
considered part of them. In the event that the special conditions of some services conflict with
the
general
terms of use, the special conditions regarding these services shall be taken into consideration.
GAZELLE may amend the conditions related to the services from time to time, and the amendments
will
be
applied when GAZELLE publishes these updated terms on this website or publishes the modified
policies or
special conditions related to the service provided. Your continued access to or use of the
services
after
this publication constitutes your agreement to abide by the terms. We collect and use personal
data
in
connection with the services in accordance with what is specified in the terms and conditions.
GAZELLE
may
provide the necessary information, including your contact information (to claims settlement
companies or
others in the event of a complaint, dispute or conflict, which may include an accident that
occurs
between
you and an external service provider). Including the owner of the parking lot (where this
information or
data is necessary for the settlement of the complaint, dispute).
The services create a technical platform that enables users of GAZELLE's mobile applications or
websites
available as part of the services (each of which is referred to as the Application) to manage
and schedule
parking reservation services or logistical services with independent third parties providing
these services.
Including registered parking holders on the app and independent external service providers under
the
agreement with GAZELLE or some of its subsidiaries, and they are introduced to external service
providers.
The Services are provided for your personal, non-commercial use, unless GAZELLE agrees otherwise
in a
separate written agreement.
From your side, you acknowledge that GAZELLE does not provide parking or logistical services or
operates as a
parking company and that all parking or logistical services are provided by independent external
contractors
that do not work for GAZELLE or any of its subsidiaries.
License
GAZELLE grants you a limited, non-exclusive license that cannot be sublicensed and cannot be
transferred to
another person and it can be cancelled because of:
- Access and use the applications on your personal device only in connection with your use of
the
services.
- Accessing any of the content, information, and related materials that may be provided
through
the
services and their use, and in all these cases the use is personal and non-commercial.
GAZELLE
and its
licensors reserve any rights which are not expressly granted in these terms.
Limitations
You are not entitled to:
- Remove any copyright, trademark, or any other intellectual property from any part of the
services.
- Reproduction, modification of services, preparation of derivative works from them,
distribution,
licensing, leasing, sale, resale, transfer of ownership, public display, public performance,
broadcasting, disseminating, publishing, or exploiting them in any other way except as
explicitly
permitted by GAZELLE.
- Manipulating, reverse engineering, or disassembling its codes.
- Create a link to any part of the services, prepare duplicate copies of them, or frame them.
- Creating or causing the creation of any programs or scripts for the purpose of disposing,
indexing,
deleting, or otherwise exploiting any part of the services, or unduly burdening or hindering
the
work or
function of any aspect of the services.
- Attempting to enter unauthorized access to the services or damage any of its aspects or any
of
the
systems and networks related to it.
Third-party Services and their Content
Services may be provided or accessed in conjunction with third-party services and content
including
advertising (which are not under the control of GAZELLE). You acknowledge that different terms
of
use and
privacy policies may apply to your use of third-party services and content. GAZELLE does not
endorse
the
third-party services and content. Under no circumstances shall you be responsible for any of the
products or
services of the external service providers. In addition, Apple, Google, Microsoft, BlackBerry
Limited or
their respective subsidiaries and international subsidiaries are considered external
beneficiaries
of this
contract if you access the services using applications specifically designed for mobile devices
through
Apple IOS, Android, Microsoft Windows, or Blackberry respectively. These external beneficiaries
are
not
parties to this contract and are not responsible for providing or supporting services in any
way.
Your
access to services using these devices is subject to the conditions stated in the applicable
terms
of
service for the external beneficiary.
Intellectual Property
The services and all rights related to them remain the property of GAZELLE or its licensors, and
neither
these terms nor your use of the services grant you any rights in the services or in relation to
them
other
than the limited license granted above, or use or refer in any way to company names, logos or
product names.
GAZELLE's services, trademarks or service marks, or those of its licensors.
Users Accounts
In order to use most aspects of the services, you must register in order to obtain and maintain
an
effective
personal services user account. You must be 18 years or older to obtain an account. Account
registration
requires that you provide certain personal information to GAZELLE, such as your name, address,
mobile phone
number, age, and email address, in addition to at least one valid payment method (either a
credit
card or
accepted payment partner). On your part, you agree to record and maintain accurate, complete and
up-to-date
information in your account, and your failure to maintain accurate, complete and up-to-date
information
Including setting an invalid or expired payment method, may result in your inability to access
or
use the
services, or GAZELLE may terminate these terms with you. You hold the responsibility for all
activities that
take place in the name of your account, and you also agree to always maintain the security and
confidentiality of the username and password for your account. You are not entitled to have more
than one
account unless GAZELLE allows you in writing otherwise.
User Requirements and Behavior
The service is not available for use for those under the age of 18. You are not authorized to
authorize the
use of your account to third parties. You may not assign your account or transfer its ownership
to
any other
person or entity, and you agree on your part to comply with all applicable laws in the Kingdom
of
Saudi
Arabia when using the services. You may only use them for legal purposes (for example, not to
put
illegal or
dangerous substances inside the car, and children should not be left alone in the car). You may
not,
when
using the Services, cause harm, inconvenience, harassment, or property damage, either to
external
service
providers or to any other parties. In some cases, you may be required to provide proof of
identity
to access
or use the services, and you agree that you may be denied access to or use of the services if
you
refuse to
provide proof of identity.
Text Messages
Once the account is created, you agree that GAZELLE may send you some informational text messages
as
part of
the normal business context for your use of the services. You have the right to refuse to
receive
text
messages from GAZELLE at any time, by sending a message to GAZELLE explaining that you do not
wish
to
receive more of these messages and including the mobile number that receives these messages. You
acknowledge
that refusal to receive text messages may affect your use of the services.
User Provided Content
GAZELLE has the right, in its absolute discretion, to allow you from time to time to provide,
download,
publish or otherwise provide textual, audio or visual content and information to GAZELLE through
the
services. Including comments and feedback regarding services, creating support requests, and
promotions, and
any user-generated content that you provide remains your property. However, once the
user-generated
content
is submitted to GAZELLE, you grant it a permanent, irrevocable and royalty-free license, in
addition
to the
right to sublicense the user’s content, use, copy, modify, create derivative works from it,
distribute it,
display it publicly and perform it publicly. And to utilize it in any other way in all forms and
distribution channels known today or that are to be developed later). Including about the
services
and
business of GAZELLE as well as the sites and services of third parties, without sending you
additional
notifications or obtaining your approval and without the need to pay you or any other person or
entity.
You confirm and warrant that you are either the exclusive and sole owner of all user content or
that
you
enjoy all rights and own all necessary licenses, approvals, and exemptions to grant a license to
GAZELLE to
use user content as stated above, and that the user's content does not cause your submission,
downloading,
or publishing of this content or providing it. In any other way, GAZELLE does not use user
content
in
violation, misappropriation, or breach any of the intellectual property rights, private rights,
copyrights
or privacy of a third party and does not lead to a breach of any applicable laws or regulations.
You shall not submit any defamatory, hateful, violent, obscene, pornographic, illegal or
offensive
user
content in any other way, as determined by GAZELLE in its absolute discretion, whether this
material
is
protected by law or not. GAZELLE may review, monitor, or remove user content at its absolute
discretion at
any time for any reason without notifying you, and is not obligated to do so.
Accessing to Network and Devices
You are responsible for obtaining the necessary data for accessing the network to use the
services.
Prices
and fees for data and messages that apply to the mobile network that you subscribe to may apply
to
you if
you access the services or use them from a wireless device and you are responsible for these
prices
and
fees. It is your responsibility to acquire and update the appropriate equipment or devices that
are
necessary to access and use the services and applications and any updates thereof. GAZELLE does
not
guarantee that the services, or any part thereof, will operate on any specific equipment or
devices.
In
addition, the services may suffer from malfunctions and delays inherent in the use of the
Internet
and
electronic communications.
You explicitly know that using the services will result in fees being charged to you in exchange
for
services
or goods that you obtain from an external service provider, and while you obtain the service
through
your
use. GAZELLE will make it easier for you to pay the fees due on behalf of the external service
provider as
the external service provider's limited payment collection agent. Paying the fees to GAZELLE is
considered
as a direct payment to the external service provider. The fees will include the applicable taxes
as
stipulated by law in the Kingdom of Saudi Arabia. All fees paid to GAZELLE shall be final and
non-refundable
unless GAZELLE specifies otherwise. On your part, you reserve the right to request a fee
reduction
from an
external services provider in exchange for the services and goods that you received from them at
the
time
you received these services and goods. Accordingly, GAZELLE will respond to any request from any
external
service provider to amend the fees for a specific service or commodity.
All fees are due with immediate effect and the payment process is facilitated by GAZELLE using
your
preferred
payment method specified in your account. If the main payment method that you set in your
account is
expired, invalid or cannot be paid through, you agree that GAZELLE may, as a limited payment
collection
agent for an external service provider, use the secondary payment method in your account if any.
As agreed between you and GAZELLE, GAZELLE reserves the right to create, cancel or review fees
for
any or all
the services or goods obtained through the use of the services at any time according to
GAZELLE's
absolute
discretion. Further, you acknowledge and accept that the fees applicable in certain geographical
areas may
be greatly increased during times of high demand. GAZELLE will make reasonable efforts to notify
you
of the
fees that may apply to you, provided that you bear responsibility for the fees incurred in your
account,
regardless of your knowledge of them or the amounts related to this account. GAZELLE may from
time
to time
provide some users with promotional offers and discounts that may result in varying amounts. It
is
paid to
obtain the same services or goods or to obtain similar services and goods while using the
services
and you
agree on your part not to have these promotional offers and discounts unless they are also
available
to you
- related to your use of the services or fees charged to you.
This payment structure aims to fully compensate the external service provider for the services
and
goods
provided. With the exception of parking reservation services requested through the app, GAZELLE
does
not
allocate any portion of your payments as a gift or tip to the outside service provider.
Delay in Receiving the Car
When the parking period that you have chosen through the GAZELLE app is exceeded, GAZELLE has the
right to
deduct any fine imposed by the parking owner, provided that it is notified by a sign inside the
parking lot
in Arabic and English indicating the value of the fine, and GAZELLE is only an intermediary to
deduct this
fine without any legal liability towards it.
Disclaimer, Limitation of Liability, Compensation
Disclaimer
The services are provided "on their condition and according to their availability. GAZELLE
disclaims
its
responsibility for all express, implicit or legislative declarations and undertakings that are
not
explicitly stated in these terms, including the implicit declarations of marketability,
suitability
for a
specific purpose and non-violation in addition to that." GAZELLE does not make any
representations,
undertakings, or guarantees regarding the reliability, timeliness, quality, suitability,
availability of
services or any of them or the goods required during the use of these services or regarding the
uninterrupted or error-free services. GAZELLE does not guarantee the quality, suitability,
safety,
or
ability of the external service providers. You also agree on your part that the full risks
arising
from your
use of the services or any services or goods required in connection with this use remain with
you
solely to
the maximum extent permitted under applicable law.
Limitation of Liability
GAZELLE will not be liable for indirect, incidental, special, warning, punitive, or consequential
damages,
including loss of data, personal injury, or property damage associated with or arising in any
way
from the
use of the services, even if GAZELLE was informed of the possibility of such damages. GAZELLE
will
not be
responsible for any damages, liabilities or losses arising from your use of the services or your
dependence
on them or your inability to access or use the services, or any commercial transaction or
relationship
between you and any external service provider, even if GAZELLE has been informed of the
possibility
of such
damages. GAZELLE will not be responsible for delays or malfunctions arising from causes outside
of
GAZELLE's
reasonable control.
The Limitation of Liability and Disclaimer provisions in Section 5 do not limit or alter your
liabilities and
rights as a customer, which cannot be excluded under applicable law.
Compensation
You agree to indemnify and absolve GAZELLE, its officials, directors, employees, and agents for
all
claims,
demands, losses, liabilities, and expenses (including attorneys' fees) that arise from your use
of
the
services or goods obtained through the use of the services, or your breach or violation of any
of
these
terms, or Violation of the rights of any of the external parties, including the external service
providers.
You will be responsible for the cost of repairing the damage in the external service provider's
parking lots
resulted from your damage to his property.
Except as stipulated in these conditions, these conditions are subject to Saudi laws alone and
not
others and
interpreted according to them and any disputes, lawsuits, or conflicts arising from or related
to
these
services or these terms. Including with regard to its validity, interpretation and enforcement,
it
must be
resolved at the outset in a compulsory manner through the settlement procedures, and if the
aforementioned
dispute is not settled within sixty (60) days of submitting a request to settle the dispute,
then
this
dispute must be referred to arbitration and its final and exclusive solution according to the
arbitration
rules. Of the Saudi Commercial Arbitration Center. The headquarters of both mediation and
arbitration shall
be Riyadh, Kingdom of Saudi Arabia. The Arabic language shall be the language of mediation or
arbitration.
The fact of the existence and content of the mediation and arbitration procedures, including

Arbitration
Center,
correspondence from the mediator, correspondence, orders, and decisions issued by the arbitrator
must remain
strictly confidential and not disclosed to any external party without a written consent by the
other
party,
unless that disclosure to the external party is reasonably required in the course of carrying
out
mediation
or arbitration procedures. The external party agrees in writing unconditionally to abide by the
confidentiality obligations stipulated in these conditions.

GAZELLE may send notifications by sending a general notification about the services, or by
sending an
email
to your email address registered in your account, or by sending a written letter by regular mail
to
your
address registered in your account. You may send notices to GAZELLE by written correspondence at
the
address
on its website.

the GAZELLE application, the user’s account will be automatically deactivated.

subsidiaries, and share, for legal reasons or in connection with claims or disputes.
